Why do small deals struggle with data rooms?
Enterprise virtual data rooms are built for large processes, with long onboarding and pricing to match. How do you build the two rooms?
Connect SendNow to your assistant first (about two minutes; see the setup guide). Then build Stage 1:
"Create a data room called Project Atlas Stage 1 with a Teaser and CIM section containing the teaser and the confidential information memorandum. Require email verification and an NDA, and turn downloads off."
And Stage 2:
"Create a data room called Project Atlas Stage 2. How do you gate a folder inside a room?
Some documents deserve a second lock even for approved buyers. Ask:
"In Project Atlas Stage 2, put Legal behind its own passcode and NDA and leave the other sections as they are."
The assistant reads the room first (get_microsite), then updates it with folder-level gating (update_microsite). Because update_microsite replaces the room's ordered content, always ask for a read-back afterwards.
How do you give each buyer a traceable link?
One link per buyer is what turns a room into a market map. For the CIM:
"Create a separate secure link to the CIM for each of Alpha Capital, Birch Partners and Cedar Group. Label each one, require email verification, downloads off, expire in 30 days."

How do you read buyer interest?
"Show me, for each buyer link, who opened it, how long they spent and whether they downloaded." "Who visited Project Atlas Stage 2, and who came back more than once?" "On each buyer link, who signed the NDA but completed less than 25% of the document?"
These use list_links, list_link_viewers and get_microsite_analytics. Read them as signals, not verdicts: a buyer who returns and brings colleagues is engaged, and one who signs and stalls may be waiting on a question. Check key numbers in the dashboard before you act on them.
What do you do when a bidder drops out?
"Revoke the Cedar Group link."
revoke_link switches the link off at once and keeps the history. When the deal signs, ask the assistant to list every active link and revoke them all. Prefer revoking to deleting: deleting a link is permanent, and the assistant confirms the exact target first.
What does a three-buyer process look like in practice?
An illustrative example with made-up names, to show the rhythm rather than promise a result.
An advisor is selling a small business to one of three interested buyers. She builds Stage 1 (teaser and CIM, NDA on) and sends each buyer their own CIM link. Two buyers sign the NDA and open the CIM. One signs and stops after the first section.
She asks, "On each buyer link, who signed the NDA but completed less than 25% of the document?" That is the third buyer, and she sends a short check-in instead of the full diligence pack.
For the two engaged buyers she builds Stage 2 and restricts it to their firms' email domains (Business plan), with Legal behind its own passcode. During diligence a late set of audited accounts arrives, and she asks the assistant to add it to the Financials section after the management accounts, then to read the room back to confirm nothing else moved.
One buyer withdraws. She revokes that link, and the history stays. When the deal signs, she asks for every active link to be listed and revoked.
What should stay out of the assistant's hands?
- Legal wording. Paste NDA text from counsel. The assistant should not draft it.
- Reading the documents. None of SendNow's 24 tools returns document text. The assistant cannot summarize the quality of earnings report; it builds, secures and measures.
