Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between SendNow (“SendNow,” “we,” “us,” or “our”) and the individual or entity accessing, registering for, purchasing, or using the SendNow services (“Customer,” “you,” or “your”).

By creating an account, starting a free trial, purchasing a subscription, accessing, or using SendNow, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you use SendNow on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

1. The Service

1.1 SendNow Services

SendNow provides secure document sharing, document engagement analytics, secure links, Microsites, data-room-style functionality, access controls, and related document-management services.

Depending on the applicable plan, features may include:

  • Secure document-sharing links
  • Standalone document sharing
  • Open sharing
  • Document and page-level analytics
  • Viewer engagement analytics
  • Email collection
  • Require-email-to-view functionality
  • Restricted viewer access
  • Approved email access
  • OTP-based email verification
  • Password protection
  • Link expiration
  • Download controls
  • NDA acceptance
  • Microsites
  • Multi-document sharing
  • Folder organization
  • Custom branding
  • Custom domains
  • Link interaction analytics
  • Other functionality made available by SendNow from time to time

Available functionality, limits, storage, and features may vary depending on the subscription plan.

1.2 Changes to the Service

SendNow may modify, improve, replace, update, add, restrict, or discontinue features of the Service from time to time.

Changes may relate to:

  • Product functionality
  • User interface
  • Infrastructure
  • Integrations
  • Storage limits
  • Document limits
  • File-size limits
  • Analytics
  • Security controls
  • Subscription-plan limits
  • Technical requirements

Except where required by applicable law, changes to the Service do not automatically entitle Customer to a refund, credit, or early termination of an existing paid subscription.

1.3 No Guarantee of Specific Requirements

SendNow does not guarantee that the Service, any particular feature, integration, configuration, workflow, customization, or functionality will meet every Customer's specific business requirements, expectations, internal processes, or technical environment.

Customer is responsible for reviewing and evaluating available features and applicable plan limitations before purchasing a subscription.

The absence of a particular feature, workflow, integration, configuration, or functionality expected by Customer does not by itself constitute a technical defect or grounds for a refund unless SendNow expressly represented that such functionality was included in the purchased plan.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create a SendNow account.

2.2 Account Information

You agree to provide accurate, current, and complete account information. You are responsible for keeping account and billing information current.

2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • Protecting your account from unauthorized access.
  • All activity occurring through your account.
  • Ensuring authorized users comply with these Terms.

You must notify us at contact@sendnow.live if you believe your account has been accessed without authorization.

2.4 Account Sharing

Unless your subscription expressly includes multiple users or seats, an account is intended for use by the registered account holder.

You may not:

  • Sell your account.
  • Rent your account.
  • Sublicense your account.
  • Transfer your account.
  • Share credentials with unauthorized third parties.

3. Customer Responsibility

3.1 Review Before Purchase

Before purchasing a paid subscription, Customer is responsible for reviewing:

  • Plan features
  • Pricing
  • Billing frequency
  • Document limits
  • Storage limits
  • File-size limits
  • Microsite functionality
  • Custom-domain availability
  • Security controls
  • Viewer authentication features
  • Branding options
  • Analytics functionality
  • Other material plan restrictions

3.2 Feature Configuration

Certain SendNow functionality requires Customer configuration. This may include:

  • Custom domains
  • Email collection
  • Require-email-to-view settings
  • Restricted viewer access
  • Approved email addresses
  • OTP verification
  • Password protection
  • Link expiration
  • Download permissions
  • NDA requirements
  • Branding
  • Microsite permissions

Customer is responsible for selecting and configuring settings appropriate for its use case.

Customer's failure to discover, enable, activate, or properly configure an existing feature does not make the Service defective and does not automatically create an entitlement to a refund.

SendNow may provide reasonable assistance but does not guarantee custom configuration or implementation for every Customer workflow.

4. Free Trial

4.1 24-Hour Free Trial

Where offered, SendNow provides eligible Customers with a 24-hour free trial. The trial begins when the account or trial is activated and automatically expires 24 hours later.

Trial functionality may include:

  • Standalone document sharing
  • Open sharing
  • Microsites
  • Analytics
  • Security features
  • Other functionality made available during the trial

Trial limitations may apply.

4.2 Trial Limits

SendNow may impose limits during a free trial, including limits relating to:

  • Number of documents
  • Number of Microsites
  • Storage
  • File size
  • Analytics
  • Security functionality
  • Other product features

4.3 Trial Expiration

The free trial automatically expires 24 hours after activation. After expiration, Customer must activate an eligible paid subscription to continue using paid SendNow functionality and retain applicable uploaded content.

4.4 Automatic Deletion After Trial

If Customer does not activate an eligible paid subscription, all documents, files, folders, Microsites, analytics, configurations, and other uploaded or generated account content will be permanently deleted 24 hours after the free trial expires.

Accordingly:

  • The free trial lasts 24 hours.
  • Customer then has up to an additional 24 hours before permanent deletion occurs.
  • Permanent deletion may therefore occur approximately 48 hours after the trial originally began.

Customer is solely responsible for downloading or retaining any important files before this deadline.

4.5 Permanent Nature of Trial Deletion

Once content is permanently deleted following trial expiration:

  • It cannot be restored.
  • It cannot be recovered.
  • There is no undo option.
  • SendNow cannot retrieve the deleted content.
  • SendNow does not maintain backup copies for Customer recovery.
  • Deleted content cannot be transferred to another SendNow account.

To the maximum extent permitted by applicable law, SendNow is not responsible for loss of content caused by automatic deletion after a free trial where Customer did not activate an eligible paid subscription.

4.6 Trial Abuse

Unless expressly permitted by SendNow, Customers may not create multiple accounts for the purpose of repeatedly claiming free trials. SendNow may restrict or refuse additional trial access where trial abuse is reasonably suspected.

5. Customer Content

5.1 Ownership

Customer retains all ownership and intellectual-property rights in documents, files, and other content uploaded to SendNow (“Customer Content”). SendNow does not claim ownership of Customer Content.

5.2 Limited License

Customer grants SendNow a limited, non-exclusive license to host, store, process, render, transmit, display, and deliver Customer Content solely as reasonably necessary to operate and provide the Service.

5.3 Customer Responsibility for Content

Customer is solely responsible for Customer Content. Customer represents that it has all rights, permissions, consents, and legal authority required to upload, process, distribute, and share Customer Content through SendNow.

SendNow is not responsible for determining whether Customer possesses sufficient rights to distribute Customer Content.

5.4 No AI Training on Customer Documents

SendNow does not use Customer documents to train general-purpose artificial-intelligence or machine-learning models and does not use Customer documents for advertising, unless Customer separately and expressly agrees to such use.

6. Permanent File Deletion

6.1 Customer-Initiated Deletion

When Customer permanently deletes a document, file, folder, Microsite, or other content from SendNow, the deletion is intended to be permanent and irreversible.

Once permanent deletion is completed:

  • The content cannot be restored.
  • The content cannot be recovered.
  • There is no undo or restore option.
  • SendNow does not maintain a Customer-accessible recovery archive.
  • SendNow does not maintain backup copies for the purpose of restoring Customer-deleted content.

Customer is responsible for maintaining independent copies of important files before deleting them.

6.2 Removal From SendNow Systems

Permanently deleted content is removed from SendNow's active systems and storage infrastructure in accordance with SendNow's deletion processes. SendNow does not maintain a separate Customer-recovery backup after permanent deletion.

6.3 No Recovery Obligation

SendNow has no obligation to:

  • Restore Customer-deleted files.
  • Recover deleted Microsites.
  • Recover deleted folders.
  • Reconstruct folder structures.
  • Recover deleted analytics.
  • Recover deleted viewer information.
  • Restore content after trial expiration.
  • Recover content after account termination.
  • Recover content removed because of applicable subscription limits.

7. Account-to-Account Transfers

7.1 No Transfer Between Accounts

Unless SendNow expressly provides a migration or account-transfer feature, documents, files, Microsites, analytics, viewer information, folders, configurations, and other account data cannot be transferred from one SendNow account to another.

This applies even where a transfer is requested because of:

  • Signing up with the wrong email address.
  • Changing an email address.
  • Changing companies.
  • Changing account ownership.
  • Internal staff changes.
  • Subscription changes.
  • Account closure.
  • Creating a replacement account.
  • Moving from a personal account to a business account.

Customer is responsible for ensuring that the correct account and email address are used before uploading important content or purchasing a subscription.

SendNow may assist with account-related issues where technically possible but does not guarantee migration or transfer of Customer Content between accounts.

8. Customer Backup Responsibility

SendNow is a document-sharing platform and is not intended to serve as Customer's sole archival or backup-storage system.

Customer is responsible for maintaining independent copies of important Customer Content.

To the maximum extent permitted by applicable law, SendNow will not be responsible for data loss resulting from:

  • Customer deletion.
  • Trial expiration.
  • Account termination.
  • Failure to activate a paid subscription.
  • Plan changes.
  • Plan downgrade.
  • Customer configuration.
  • Failure to maintain an independent copy.

9. Acceptable Use

Customer may not use SendNow to:

  • Upload or distribute illegal content.
  • Upload malware, ransomware, viruses, malicious software, or harmful code.
  • Violate copyright, trademark, privacy, publicity, or other third-party rights.
  • Share fraudulent, deceptive, abusive, or harmful material.
  • Harass, threaten, intimidate, or harm others.
  • Circumvent security controls.
  • Circumvent access restrictions.
  • Attempt unauthorized access to SendNow systems.
  • Reverse engineer, decompile, or disassemble the Service except where applicable law expressly permits such activity.
  • Interfere with SendNow infrastructure.
  • Abuse APIs or rate limits.
  • Conduct fraudulent activity.
  • Send unsolicited bulk spam using SendNow links or functionality.
  • Use the Service for any purpose that violates applicable law.

SendNow may investigate suspected violations. SendNow may remove content or restrict, suspend, or permanently terminate accounts that violate these Terms.

10. Pricing and Payment

10.1 Paid Plans

SendNow may offer:

  • Monthly subscriptions
  • Annual subscriptions
  • Document plans
  • Microsite plans
  • Other paid plans or add-ons

The applicable price, billing frequency, features, and subscription period will be displayed at or before purchase.

10.2 Monthly Plans

Monthly plans are billed for the applicable monthly subscription period. Unless otherwise stated, monthly subscriptions automatically renew each month unless cancelled before the renewal date.

10.3 Annual Plans

Annual subscriptions are billed upfront for the entire annual subscription period. By purchasing an annual subscription, Customer commits to the full annual billing term.

An annual subscription is not twelve independent monthly subscriptions. Customer's decision to stop using SendNow before the annual period ends does not shorten the subscription period and does not create an automatic entitlement to a refund, credit, or prorated reimbursement.

10.4 Payment Authorization

By purchasing a subscription, Customer authorizes SendNow and its payment processor to charge the selected payment method for:

  • Initial subscription fees
  • Applicable taxes
  • Recurring renewals
  • Customer-authorized upgrades
  • Customer-authorized add-ons
  • Other expressly authorized purchases

10.5 Taxes

Customer is responsible for applicable sales taxes, VAT, GST, duties, levies, or similar charges except taxes based on SendNow's net income.

11. Payment Processing

Payments are currently processed through Dodo Payments or another payment processor selected by SendNow.

By purchasing SendNow, Customer may also be subject to the applicable payment processor's terms and policies.

Where payment information is processed by a third-party payment provider, SendNow does not store complete payment-card details on its own servers.

12. Automatic Renewal

Unless otherwise stated at checkout, paid subscriptions automatically renew at the end of the applicable billing period.

For example:

  • Monthly subscriptions renew monthly.
  • Annual subscriptions renew annually.

By purchasing an automatically renewing subscription, Customer authorizes recurring charges to the selected payment method until cancellation.

Customer is responsible for cancelling the subscription before the applicable renewal date if Customer does not want the subscription to renew.

SendNow may change prices for future subscription periods by providing notice where required by applicable law.

13. Cancellation

13.1 Cancellation

Customer may cancel an eligible paid subscription through available account functionality or by contacting: contact@sendnow.live

13.2 Effect of Cancellation

Cancellation prevents the subscription from automatically renewing for the next billing period. Cancellation does not retroactively cancel or reverse the current paid billing period.

Customer may continue using the applicable paid Service until the end of the subscription period already purchased.

13.3 Annual Subscription Cancellation

If Customer purchases an annual subscription and cancels during the annual term:

  • Cancellation prevents the next annual renewal.
  • Customer retains access until the end of the already-paid annual subscription term.
  • The annual plan does not convert into a monthly plan.
  • Cancellation does not create an automatic partial refund.
  • Cancellation does not create an automatic prorated refund for remaining months.
  • Unused months remain part of the annual subscription Customer purchased.

13.4 No Cancellation Fee

SendNow does not charge a separate cancellation fee unless such a fee was expressly disclosed before purchase.

14. Refund Policy

14.1 General Rule

Except where required by applicable law, all payments made to SendNow are final and non-refundable.

14.2 No Partial or Prorated Refunds

Except where required by applicable law or expressly approved by SendNow, SendNow does not provide refunds or credits for:

  • Partial billing periods.
  • Unused subscription time.
  • Unused months on an annual plan.
  • Early cancellation.
  • Reduced usage.
  • Failure to use the Service.
  • Customer changing their mind.
  • Customer no longer needing the Service.
  • Customer purchasing the wrong plan.
  • Customer purchasing an annual plan instead of a monthly plan.
  • Plan downgrades.
  • Failure to cancel before renewal.
  • Customer's failure to discover an available feature.
  • Customer's failure to activate an available feature.
  • Customer's failure to configure an available feature.
  • Customer misunderstanding available functionality.
  • Customer expecting functionality that was not expressly promised.
  • A feature not fitting Customer's preferred workflow.
  • Switching to another service.
  • Internal business changes.
  • Budget changes.
  • Staffing changes.
  • Organizational changes.

14.3 Features Already Available

A refund is not automatically available merely because Customer was unaware of, did not discover, or did not configure functionality that was already available under Customer's applicable subscription.

SendNow may provide reasonable support to help Customer locate, enable, or configure existing functionality.

14.4 Technical Issues

A technical issue does not automatically entitle Customer to a refund. Customer must:

  • Report the issue to SendNow.
  • Provide sufficient information to investigate it.
  • Provide SendNow a reasonable opportunity to diagnose and resolve the issue.

If SendNow confirms that a material technical failure caused directly by SendNow substantially prevented Customer from using a material portion of the paid Service, SendNow may, subject to applicable law and depending on the circumstances, provide:

  • A service extension
  • Account credit
  • Partial refund
  • Full refund
  • Another reasonable remedy

14.5 Goodwill Refunds

SendNow may occasionally provide a refund, credit, extension, discount, or other accommodation as a goodwill gesture.

Any such accommodation:

  • Is voluntary.
  • Does not constitute an admission of fault or liability.
  • Does not modify these Terms.
  • Does not establish a precedent.
  • Does not create an entitlement to a future refund.
  • Does not require SendNow to provide the same remedy to another Customer.

14.6 Mandatory Rights

Nothing in this Refund Policy excludes or limits refund, cancellation, withdrawal, warranty, or other rights that cannot legally be excluded or waived under applicable law.

15. Plan Changes and Downgrades

Where supported, Customer may request to change subscription plans.

Downgrading to a lower-priced plan does not automatically create a right to a refund or credit for the difference between plans.

If Customer's existing usage exceeds the limits of the new plan, content or functionality may:

  • Become inaccessible.
  • Become restricted.
  • Require removal.
  • Be permanently deleted according to applicable product rules.

Customer is responsible for reviewing plan limits and downloading important content before changing plans.

16. Chargebacks and Payment Disputes

Customer is encouraged to contact SendNow at contact@sendnow.live before initiating a chargeback or payment dispute so that SendNow has a reasonable opportunity to investigate and resolve the matter.

If Customer initiates a payment dispute, SendNow may provide the applicable payment processor, card network, bank, or financial institution with relevant evidence, including:

  • Account-registration information
  • Subscription records
  • Checkout information
  • Payment authorization
  • Acceptance of these Terms
  • Login history
  • Service usage
  • Document activity
  • Microsite activity
  • Viewer activity
  • Subscription status
  • Cancellation records
  • Support correspondence
  • Evidence of Service delivery

SendNow may restrict or terminate accounts associated with fraudulent or abusive payment disputes where permitted by applicable law.

Nothing in this section prevents Customer from exercising legally protected payment-dispute rights.

17. Analytics

SendNow may provide analytics relating to document and viewer engagement.

Depending on available features, analytics may include:

  • Document views
  • Pages viewed
  • Time spent
  • Viewer email addresses
  • Device information
  • Approximate location information
  • Return visits
  • Link interactions
  • Engagement behavior

Analytics may be affected by:

  • Browser restrictions
  • Ad blockers
  • Privacy technologies
  • Network conditions
  • Device settings
  • Connection interruptions
  • Third-party infrastructure

SendNow does not guarantee that every analytics event will be captured or that analytics will always be completely accurate.

Customer is responsible for determining whether Customer's collection and use of viewer analytics complies with applicable privacy and data-protection laws.

18. Viewer Verification and Security

SendNow may provide security functionality including:

  • Password protection
  • Require-email-to-view controls
  • Approved viewer email addresses
  • OTP verification
  • NDA acceptance
  • Link expiration
  • Download restrictions
  • Other viewer-access restrictions

Customer is responsible for configuring appropriate security controls for Customer's use case.

No online security technology can eliminate every security risk. SendNow does not guarantee that its technical controls will prevent every:

  • Screenshot
  • Screen recording
  • Copying technique
  • Unauthorized disclosure
  • Security attack
  • Circumvention attempt

19. Privacy and Data Protection

SendNow's handling of personal information is governed by the SendNow Privacy Policy.

Customer acknowledges that use of SendNow may involve processing personal information relating to:

  • Account holders
  • Document owners
  • Viewers
  • Recipients
  • Other users

Customer is responsible for ensuring Customer has any permissions, notices, consents, or other lawful basis required for its use of personal information through SendNow.

20. Intellectual Property

Except for Customer Content, SendNow and its licensors retain all rights, title, and interest in:

  • SendNow software
  • Technology
  • Source code
  • User interface
  • Designs
  • Features
  • Documentation
  • Trademarks
  • Logos
  • Branding
  • Analytics infrastructure
  • Related intellectual property

Customer receives only a limited, non-exclusive, non-transferable right to access and use the Service during the applicable subscription term in accordance with these Terms. No ownership rights in SendNow technology are transferred to Customer.

21. Feedback

If Customer provides suggestions, recommendations, ideas, feature requests, comments, or other feedback regarding SendNow, Customer grants SendNow a worldwide, perpetual, irrevocable, royalty-free right to use, develop, modify, implement, commercialize, and incorporate such feedback without compensation or obligation to Customer.

This does not transfer ownership of Customer Content.

22. Third-Party Services

SendNow may use or integrate with third-party services including:

  • Payment processors
  • Cloud infrastructure providers
  • Email providers
  • Domain providers
  • Analytics providers
  • Authentication services
  • Other technology providers

SendNow does not control independent third-party services.

To the maximum extent permitted by applicable law, SendNow is not responsible for:

  • Third-party outages
  • Third-party errors
  • Third-party security incidents
  • Third-party data practices
  • Third-party availability
  • Third-party functionality
  • Other actions outside SendNow's reasonable control

23. Service Availability

SendNow aims to provide reliable Service availability but does not guarantee uninterrupted or error-free operation.

The Service may become unavailable because of:

  • Planned maintenance
  • Emergency maintenance
  • Software updates
  • Infrastructure failures
  • Internet outages
  • Cloud-service failures
  • Third-party outages
  • Cybersecurity incidents
  • Conditions outside SendNow's reasonable control

SendNow may perform maintenance where reasonably necessary to protect, maintain, or improve the Service.

24. Beta and Experimental Features

SendNow may make functionality available as Beta, Alpha, Preview, Experimental, Early access, Testing, or Development.

Such functionality may:

  • Be incomplete
  • Contain errors
  • Change without notice
  • Become temporarily unavailable
  • Be removed entirely
  • Not receive the same support as generally available functionality

Customer uses beta and experimental functionality at Customer's discretion. To the maximum extent permitted by applicable law, SendNow makes no guarantee regarding the availability, reliability, accuracy, or future availability of beta functionality.

25. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENDNOW AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SENDNOW DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, RELIABILITY, ACCURACY, AND AVAILABILITY.

SENDNOW DOES NOT WARRANT THAT:

  • THE SERVICE WILL ALWAYS BE AVAILABLE.
  • THE SERVICE WILL BE COMPLETELY ERROR-FREE.
  • EVERY DEFECT WILL BE CORRECTED.
  • ANALYTICS WILL ALWAYS BE COMPLETE OR ACCURATE.
  • THE SERVICE WILL MEET EVERY CUSTOMER REQUIREMENT.
  • THE SERVICE WILL MEET EVERY CUSTOMER EXPECTATION.
  • EVERY REQUESTED FEATURE WILL BE AVAILABLE.
  • EVERY THIRD-PARTY INTEGRATION WILL REMAIN AVAILABLE.
  • CUSTOMER CONTENT WILL NEVER BE LOST OR CORRUPTED.

These disclaimers apply only to the extent permitted by applicable law.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENDNOW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING:

  • LOSS OF PROFITS
  • LOSS OF REVENUE
  • LOSS OF BUSINESS
  • LOSS OF BUSINESS OPPORTUNITIES
  • LOSS OF GOODWILL
  • LOSS OF DATA
  • BUSINESS INTERRUPTION

EVEN IF SENDNOW HAS BEEN ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENDNOW'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO SENDNOW DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

For free, promotional, trial, or beta access, SendNow's aggregate liability will not exceed USD $50, to the extent permitted by applicable law.

Nothing in this section limits liability that cannot legally be excluded or limited.

27. Indemnification

To the extent permitted by applicable law, Customer agrees to indemnify and hold harmless SendNow and its officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of or relating to:

  • Customer Content.
  • Customer's unlawful use of SendNow.
  • Customer's violation of these Terms.
  • Customer's violation of third-party rights.
  • Customer's privacy or data-protection violations.

28. Account Suspension

SendNow may temporarily restrict, disable, or suspend access where reasonably necessary because of:

  • Violation of these Terms
  • Non-payment
  • Fraud
  • Abuse
  • Illegal activity
  • Security threats
  • Infrastructure abuse
  • Prohibited content
  • Chargeback abuse
  • Legal requirements

Where reasonably possible and appropriate, SendNow may provide notice and an opportunity for Customer to address the issue.

29. Account Termination

29.1 Termination by Customer

Customer may stop using SendNow or close the applicable account. Closing an account does not create an automatic refund entitlement for prepaid subscription fees.

29.2 Termination by SendNow

SendNow may suspend or terminate an account for:

  • Material violations of these Terms
  • Fraud
  • Illegal activity
  • Non-payment
  • Repeated abuse
  • Serious security risks
  • Prohibited content
  • Other serious violations of SendNow policies

29.3 Effect of Termination

Upon termination:

  • Customer's right to use the Service may end.
  • Customer Content may become inaccessible.
  • Customer Content may subsequently be permanently deleted.
  • Outstanding payment obligations remain payable.
  • Provisions intended to survive termination remain effective.

Customer is responsible for downloading important Customer Content before voluntarily closing an account.

30. Intellectual-Property Complaints

If you believe that content distributed through SendNow infringes your intellectual-property rights, contact: contact@sendnow.live

Your notice should contain sufficient information for SendNow to identify and investigate the material concerned. SendNow may remove or restrict access to allegedly infringing material where reasonably appropriate.

31. Force Majeure

Except for Customer's payment obligations, SendNow will not be responsible for delay or failure caused by events outside its reasonable control, including:

  • Natural disasters
  • War
  • Terrorism
  • Civil unrest
  • Government actions
  • Labor disputes
  • Power failures
  • Internet failures
  • Cloud-infrastructure failures
  • Cyberattacks
  • Third-party provider outages
  • Similar events outside SendNow's reasonable control

32. Informal Dispute Resolution

Before commencing formal legal proceedings, Customer and SendNow agree to make a reasonable good-faith effort to resolve the dispute informally.

The notice should contain sufficient information for SendNow to:

  • Identify the relevant account.
  • Understand the issue.
  • Review relevant transactions or activity.
  • Understand Customer's requested resolution.

Nothing in this section prevents either party from seeking urgent legal relief where necessary or from exercising any right that cannot legally be restricted.

33. Applicable Law

These Terms and Customer's use of SendNow are subject to applicable laws and regulations.

Nothing in these Terms is intended to exclude, restrict, or waive any right or obligation that cannot legally be excluded, restricted, or waived.

Where a dispute arises and no governing law or jurisdiction has been expressly agreed between SendNow and Customer, the applicable law and jurisdiction will be determined in accordance with applicable legal rules.

34. Changes to These Terms

SendNow may update these Terms from time to time. Where required by applicable law or where a change is material, SendNow may provide notice through:

  • Email
  • Website notification
  • Dashboard notification
  • In-app notification

The current version will display its most recent update date. Continued use of SendNow after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

35. Assignment

Customer may not assign or transfer these Terms without SendNow's prior written consent.

SendNow may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, financing transaction, sale of assets, or sale/transfer of the SendNow business, subject to applicable law.

36. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be limited or modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

37. No Waiver

SendNow's failure to enforce any provision of these Terms does not constitute a waiver of that provision or SendNow's right to enforce it later.

38. Entire Agreement

These Terms, together with:

  • The SendNow Privacy Policy
  • Applicable checkout terms
  • Pricing information presented at purchase
  • Any separate written agreement expressly entered into between Customer and SendNow

constitute the agreement relating to Customer's use of the Service. They supersede prior discussions or representations concerning the same subject matter, except where expressly agreed otherwise in writing.

39. Survival

Provisions relating to:

  • Payment obligations
  • Refunds
  • Customer Content
  • Intellectual property
  • Warranty disclaimers
  • Limitation of liability
  • Indemnification
  • Disputes
  • Other provisions that by their nature should survive

will survive expiration or termination of these Terms.

40. Mandatory Legal Rights

Nothing in these Terms excludes, restricts, or waives any legal right, remedy, warranty, refund right, withdrawal right, payment-dispute right, consumer protection, or other protection that cannot legally be excluded, restricted, or waived.

Where mandatory applicable law conflicts with these Terms, such mandatory law will apply only to the extent of that conflict.
