What is an AI due diligence data room?
An AI due diligence data room is a secure document room that you operate through an AI assistant. Instead of using a dashboard to create folders, set an NDA and check engagement, you describe what you want and the assistant carries out the steps in the data room through MCP. The room itself is a normal gated room your counterparties open in a browser.

How should you word prompts for a data room?
Four habits make these prompts reliable:
- Name files and folders exactly. "Financial model 2026" beats "the model".
- Say the rules in the same message. NDA, downloads, expiry, who can enter.
- Ask for a read-back. End with "then show me the settings". The assistant calls
get_micrositeand you can check it. - Start restrictive, loosen later. You cannot take back a download.
Prompts to build the room
1. Find your files first
"List my documents with 'diligence' or 'financial' in the name."
Tool: list_documents (search). Plan: any. Use this so you and the assistant agree on which files exist before building.
2. Create the room
"Create a data room called Project Atlas. Sections: Financials (financial model 2026, cap table), Legal (draft term sheet, articles), Product (pitch deck, roadmap). Require email verification and an NDA, turn downloads off, expire on December 31, then show me the settings."

3. Add a late file to a section
"Add the audited 2025 accounts to the Financials section of Project Atlas, after the financial model."

4. Tighten one folder only
"In Project Atlas, put Legal behind its own passcode and an NDA, and leave the other sections as they are."

5. Read back the settings
"Show me every security setting on Project Atlas in a table."

Prompts to give each buyer their own link
6. One link per buyer
"Create a separate secure link to the Project Atlas deck for each of: Alpha Capital, Birch Partners, Cedar Group. Label each one. Require email verification, downloads off, expire in 14 days."

7. Restrict a link to a firm

8. Stamp viewers on every page

10. Room-level activity
"Who visited Project Atlas this week, and which visitors came back more than once?"

11. Buyer-level detail
"For the Alpha Capital link, list every viewer with time spent, completion and whether they downloaded."
Tools: list_links, then list_link_viewers. Verified-email sessions are named people; start there.
12. The follow-up list
"On each buyer link, who signed the NDA but completed less than 25% of the document? List them."
Tool: list_link_viewers (NDA signature status and completion percentage). This is the question that tells you who to chase.
13. Compare documents
"Which file in Project Atlas has the highest completion rate, and which has the lowest?"

Prompts to close the process
14. Cut off a bidder without losing the record
"Revoke the Cedar Group link."
Tool: revoke_link. Plan: any. Revoking switches the link off immediately and keeps the view history. Prefer it to deleting, which is permanent.
15. Check limits before a big upload
"What plan am I on and how much storage is left before I upload 3 GB?"
Tools: get_account_profile, get_account_usage. Plan: any. For large files the assistant can also hand you a one-time browser upload link.
What can the assistant not do?
Be clear-eyed about the limits:
- It does not read your documents. No tool returns file text, so it cannot answer "what does clause 14 say". It builds, secures and measures the room.
- It cannot override your plan. NDA and screenshot blocking need Pro. Allowed viewers and dynamic watermarks need Business. The assistant tells you when something is unavailable.
- It can slip on numbers. Verify analytics in the dashboard.
- Deletion is permanent. Prefer revoke.
How do you keep a deal process safe when AI is involved?
Use the controls that apply regardless of who clicks the buttons: email verification and NDA at entry, folder-level gating for sensitive sections, a separate labelled link per buyer, expiry on everything, and a watermark on Business. Can ChatGPT or Claude run a due diligence data room?
